The Board of Directors of NTUAA of Northern California, a California corporation (the “NTUAA”) held a meeting at 44973 Cougar Circle, Fremont CA 94539 on August 31, 2008.

Shu-Chen Wu, and John Yu. Also in attendance: Julia Hsiao (advisor)
Call to Order
Chairperson Shirley Lin called to order at 3:05 pm.
Approval of Minutes
Moved by Sue Sun and seconded by John Yu, the minutes dated 06/01/2008 were approved with corrections.
Welcome Candidates
Shirley Lin introduced two candidates for 2009 Board: Annita Auyang and Peining Chang.
Financial Report
Sue Sun indicated that the financial report on Azalea Night events and the publication of Year Book/Directory would be published in the NTUAA website and be presented in the Annual Members Meeting. The total amount of Sichuan earthquake relief fund raising was at $2,020 and it had been dispersed to Red Heart Fund.
Post Meeting Note: Total amount of fund raised was $7630, and it had been distributed to the following organizations:
Shin Shin Educational Fund: $5600 (approved by majority vote of the Board)
Red Heart Fund: $2020 (specified by the donor)
Panda International: $ 10 (specified by the donor)
General Update
· Shirley Lin thanked Stephen Tang, Stella Ying, Peining Chang, and Sue Sun for the successful Alzheimer Forum on August 17th, which was co-sponsored by NTUAA and PKUAA-NC. About 200 people attended the event.
· Stephen Tang indicated that the majority of 600 copies of Year Book/Directory have been distributed to paid members, sponsors, and authors of articles in the yearbook. The remaining few copies will be reserved for the new members to be joining the NTUAA.

Plan for Next Year’s Azalea Night Facility
A motion was moved by John Yu and seconded by Irene Wang that we will lease a ballroom in the Double Tree Hotel with a no-risk reservation, such as with a up to $500 refundable deposit by November. Eleven BOD members (Stephen was proxy for Stella Ying, and Sue was proxy for Christy Chou) voted in favor of the motion; 4 against and 1 abstained. Shirley Lin and Kelley Liu will negotiate with Double Tree Hotel.
Bylaw, General Election and Annual Members Meeting
Amendment
to Bylaws of NTUAA of Northern California was further discussed. The final version of the amendment will be
mailed to members for their approval by October 15th.
The nomination of new BOD members will end on September 9th. The ballots for new BOD members election will be mailed out on September 18th. Members must return the ballots on or before October 15th and the election results will be announced on October 20th. The annual members meeting will be held on October 25th.
Round-the-Table
Discussion and Future Events Planning
A motion that NTUAA makes donations to local non-profit organizations, moved by Irene Wang and seconded by John Yu, was passed by consensus. John Yu suggested that NTUAA could make a donation to Asian Americans for Community Involvement (AACI).
A motion that NTUAA joins other organizations (such as PKUAA-NC) to co-sponsor various cultural and leisure activities, moved by Sue Sun and seconded by John Yu, was passed by consensus. Sue Sun and Shirley Lin are the contact persons with other organizations.
It was suggested that the outgoing Chairperson should sit in the first meeting with new and existing BOD members in November for the sake of continuity.
Adjournment
Chairperson Shirley Lin adjourned the meeting at 5:20 pm. The next BOD meeting will be held on Oct. 12.
